1. Introduction
Welcome to possibl.ai. These Terms of Service govern your access to and use of our website, products, and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
2. Services
possibl.ai provides artificial intelligence consulting services, including but not limited to AI strategy development, implementation, Labs as a Service, workshops, and related advisory services. The specific details of the services will be outlined in a separate agreement or statement of work between possibl.ai and the client.
3. Client Responsibilities
As a client of possibl.ai, you agree to:
- Provide accurate and complete information necessary for the provision of services
- Respond to requests for information or approvals in a timely manner
- Use the services in compliance with all applicable laws and regulations
- Pay all fees as specified in your service agreement
- Respect the intellectual property rights of possibl.ai and third parties
4. Fees and Payment
Fees for our services will be specified in a separate agreement. Unless otherwise stated:
- All fees are quoted in New Zealand Dollars (NZD) and exclude GST
- Payment terms are 20 days from the date of invoice
- We reserve the right to charge interest on overdue accounts at a rate of 2% per month
- You are responsible for all taxes applicable to the services
5. Intellectual Property
Ownership of Pre-existing IP: Each party retains all rights to any pre-existing intellectual property.
Client Materials: You retain ownership of all materials you provide to us.
Deliverables: Upon full payment of all fees, you will receive a licence to use deliverables created specifically for you as outlined in your service agreement. Unless explicitly stated otherwise in a written agreement, possibl.ai retains ownership of all intellectual property in the deliverables, including methodologies, know-how, and reusable components.
possibl.ai IP: We retain ownership of all intellectual property in our methodologies, processes, know-how, tools, and other materials developed independently of your project.
6. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other party in connection with the services. Confidential information will not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law or to the extent necessary to provide the services.
This confidentiality obligation survives the termination of our services.
7. Limited Warranty and Liability
We will perform our services with reasonable care and skill in accordance with industry standards. To the extent permitted by law, our liability is limited to:
- Re-performing the deficient services; or
- Refunding the fees paid for the deficient services
To the maximum extent permitted by law:
- We exclude all implied warranties
- We will not be liable for any indirect, special, incidental, or consequential damages
- Our total liability for any claims arising from or related to our services will not exceed the fees paid for the services giving rise to the claim
Nothing in these Terms limits liability for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under New Zealand law.
8. Term and Termination
These Terms remain in effect until terminated. Either party may terminate services as specified in the service agreement. Upon termination:
- You will pay all outstanding fees for services provided up to the date of termination
- Each party will return or destroy all confidential information of the other party
- Provisions relating to payment, intellectual property, confidentiality, limitation of liability, and dispute resolution will survive termination
9. Force Majeure
Neither party will be liable for any delay or failure to perform its obligations due to events beyond its reasonable control, including natural disasters, acts of government, labour disputes, utility failures, or terrorist acts.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of New Zealand. Any dispute arising from or relating to these Terms or our services will be resolved as follows:
- The parties will first attempt to resolve the dispute through good-faith negotiations
- If negotiations fail, the dispute will be submitted to mediation under the Resolution Institute Mediation Rules
- If mediation does not resolve the dispute within 30 days, either party may initiate legal proceedings in the courts of New Zealand
11. Consumer Guarantees Act
If you are acquiring our services for business purposes, you agree that the Consumer Guarantees Act 1993 does not apply. If you are acquiring our services for personal, domestic, or household use, nothing in these Terms limits your rights under the Consumer Guarantees Act 1993.
12. General Provisions
Entire Agreement: These Terms, together with any service agreement, constitute the entire agreement between the parties regarding the subject matter.
Amendment: We may modify these Terms at any time by posting the revised version on our website. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any successor in interest.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
